1. Parties and acceptance
These Terms and Conditions (“Terms”) govern your access to and use of the ModulawAI platform (“Platform”) operated by ModulawAI Inc., a corporation incorporated in the State of Delaware, USA, with its principal place of business at 7 Peter Utulu Close, Anu Crescent, Badore, Ajah, Lagos, Nigeria, and registered agent Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, USA, and its Nigerian subsidiary, ModulawAI Nigeria Limited (RC-8401723) (collectively, “ModulawAI”, “we”, “our”, or “us”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Overview of the Platform
ModulawAI provides:
- AI-powered legal research tools
- Case law access and analysis
- AI chatbot services with multi-jurisdiction case-law coverage, including Nigeria, the United States, the United Kingdom, Canada, the EU, and pan-African sources
- Case management features including document storage, invoicing, and task management
- ModulawAI for Word, a Microsoft Word add-in distributed via Microsoft AppSource
- Subscription-based services and enterprise solutions
- Optional integration with third-party services (including Google Calendar and Zoom)
3. ModulawAI for Word (Microsoft Word add-in)
ModulawAI for Word is the Microsoft Word add-in we publish on Microsoft AppSource. The add-in client is hosted on AWS Amplify and communicates with our backend services hosted on Microsoft Azure. AI requests from the add-in are routed to one or more of our AI providers (Anthropic, AWS Bedrock, Azure OpenAI, Fireworks AI) — see the Privacy Policy for the current list. These Terms apply in full to your use of the add-in, with the additions in this section.
No legal advice
Output generated by the add-in (drafts, reviews, summaries, citations, and analysis) is produced by AI and may contain errors, omissions, or fabricated case references. It does not constitute legal advice and is not a substitute for advice from a licensed attorney admitted in your jurisdiction. You are solely responsible for reviewing and verifying any output before relying on, filing, or distributing it. See also the broader AI disclaimer in section 12.
Citation verification
Even when our citation-verification feature reports a citation as “verified”, you remain responsible for independently confirming case law before citing it in any document, court filing, or correspondence.
Ownership of generated content
You retain all rights, title, and interest in documents you create, edit, or generate using the add-in. ModulawAI claims no ownership over your content. You grant ModulawAI a limited, non-exclusive license to process your document content solely for the purpose of providing the service.
Acceptable use
You agree not to use the add-in to (a) violate any law, (b) infringe third-party rights, (c) generate misleading legal documents intended to deceive a court or counterparty, or (d) attempt to extract, reverse-engineer, or replicate the underlying AI models. Section 11 applies in full.
Credits and billing
Use of the add-in consumes credits from your ModulawAI account according to the pricing posted at modulaw.ai/pricing. New subscriptions are backed by a 7-day money-back guarantee; after that period, credits are non-refundable except as required by applicable consumer-protection law.
4. Eligibility
You must be at least 18 years old and legally authorized to enter into binding contracts in your jurisdiction to use the Platform. By registering, you represent and warrant that you meet these requirements.
5. User accounts
- You are responsible for maintaining the confidentiality of your login credentials.
- You agree to notify us immediately of any unauthorized use of your account at legal@modulaw.ai.
- We reserve the right to suspend or terminate accounts in breach of these Terms.
6. Subscriptions and payments
- Subscription plans are billed via Paystack in Nigerian Naira (NGN) for Nigerian customers, and via Stripe (in the applicable local currency, e.g. USD or EUR) for customers in other regions. ModulawAI reserves the right to introduce additional payment processors and currencies as services expand to other markets.
- Trial users receive limited access to the Platform’s features.
- Paid plans grant extended access and AI credits as described on the pricing page.
- You may cancel your subscription at any time; your subscription remains active through the end of the paid term and does not renew. New subscriptions are backed by a 7-day money-back guarantee; otherwise, all fees are non-refundable except as required by applicable law.
- We reserve the right to change pricing with at least 30 days’ prior written notice to active subscribers.
7. User-submitted content
You may upload legal documents or enter case-related text for AI analysis. You retain full ownership of all content you submit.
You warrant that:
- You have lawful rights to upload such content.
- Your content does not infringe any third-party rights.
- You grant ModulawAI a limited, non-exclusive licence to process your submitted content solely to provide the services you have requested.
Uploaded client documents and case files are excluded from any AI model training. ModulawAI does not use your uploaded legal materials to train, fine-tune, or improve any AI model. See our Privacy Policy for full details.
8. Confidentiality of legal documents
ModulawAI acknowledges that uploaded legal documents, case notes, client correspondence, and related materials may be subject to legal professional privilege and attorney-client confidentiality obligations.
- We treat all such content as confidential.
- ModulawAI personnel do not access your uploaded legal documents except where necessary to provide technical support and only with your express consent.
- Our technical and contractual arrangements with subprocessors require equivalent confidentiality obligations.
9. Data privacy
Your use of the Platform is subject to our Privacy Policy and Data Protection Policy, which are incorporated into these Terms by reference. Enterprise and business customers who require a Data Processing Agreement (DPA) governing our processor obligations should contact dpo@modulaw.ai or visit our DPA page.
10. Subprocessors
We use third-party subprocessors to deliver the Platform. Our current subprocessor list is maintained in our Data Protection Policy.
Enterprise customers will be given at least 30 days’ advance written notice of any material additions or changes to our subprocessors. You may object to a new subprocessor within that period by contacting dpo@modulaw.ai. If we cannot accommodate your objection, you may terminate your subscription without penalty.
11. Prohibited uses
You agree not to:
- Use the Platform for unlawful purposes or to facilitate unethical legal practice.
- Resell, reverse-engineer, decompile, or modify any part of the Platform or its software.
- Upload malicious content or attempt unauthorized access to any system.
- Scrape, harvest, or systematically extract data from the Platform.
- Use AI-generated outputs as definitive legal advice without independent professional verification.
12. AI disclaimer — important
The Platform uses artificial intelligence to assist legal research. It does not provide legal advice.
All AI-generated outputs, including case summaries, legal analysis, document drafts, and chatbot responses, are provided for informational and research purposes only. They must be independently reviewed and verified by a qualified lawyer or legal professional before being relied upon in any legal matter.
ModulawAI expressly disclaims liability for:
- Any reliance on AI-generated outputs without independent professional legal advice.
- Errors, omissions, or inaccuracies in AI-generated content.
- Outcomes in legal proceedings influenced by use of the Platform.
- Misinterpretation or misapplication of AI outputs.
13. Intellectual property
All trademarks, branding, software, and original Platform content are the property of ModulawAI Inc. and may not be copied, distributed, or used without express written permission. User-submitted content remains the property of the user.
14. Limitation of liability
To the fullest extent permitted by applicable law, ModulawAI shall not be liable for:
- Any indirect, incidental, special, or consequential damages.
- Loss of legal cases, income, profits, or data arising from Platform use.
- Service interruptions or inaccuracies caused by third-party providers.
Our total aggregate liability to you for all claims arising under these Terms shall not exceed the total fees paid by you to ModulawAI in the 6 months preceding the event giving rise to the claim.
15. Force majeure
ModulawAI shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemic, government action, power failures, cyberattacks, or failure of third-party infrastructure providers. ModulawAI will use reasonable efforts to resume normal service as soon as practicable.
16. Termination
We may suspend or terminate your access to the Platform if you violate these Terms or applicable laws. You may cancel your subscription at any time through your account settings; your subscription remains active through the end of the paid term and does not renew. New subscriptions are backed by a 7-day money-back guarantee. Termination does not affect accrued rights or obligations.
17. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Platform after the effective date of the new Terms constitutes acceptance.
18. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be subject to good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be submitted to binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), with proceedings conducted in English. The arbitration shall take place in Delaware, USA, unless both parties agree otherwise in writing.
Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
